With guidance from the Sr. Corporate Counsel, the Staff Attorney assists with the legal affairs of the company, primarily focusing on contracting. In this role, you'll partner closely with a dedicated group of revenue driving salespeople, supporting and advising deal structure and contract negotiation, while ensuring the existence of reasonable contractual protection for the company. We're looking for a candidate who has experience with highly transactional, Software-as-a-Service (SaaS) contracts with a specific focus on software licensing agreements and downloadable software agreements. Responsibilities:

The role will focus on the following key areas:
Negotiate global customer and vendor contracts, including, subscription, software licensing and services arrangements, and business partner and alliance agreements.
Assist in managing vendor relationships and building effective partnerships, while helping to lower costs and secure agreements.
Assist in developing and managing customer and vendor contracting processes, and providing legal and compliance advice on account and vendor management contracts and other issues.
Work with the team to drive compliance, through interacting with the business to understand potential legal compliance issues, engaging with internal area of law subject matter experts, reviewing and understanding applicable laws and regulations applicable to iCIMS' business, and helping to ensure adoption and execution of internal policies and procedures.
Help ensure intellectual property protection and enforcement, including copyrights, trade secrets, and patents, as applicable.
Conduct research on a variety of legal issues.
Consistently ensure that business is conducted with integrity at all times and that behavior aligns with iCIMS policies, procedures, and core competencies


Qualifications:

A minimum of 1 year of experience negotiating complex software as a service, software licensing, professional services, and/or other technology transactions is required. 2
years of related experience is preferred.
Knowledge of federal, state, local and foreign laws and regulations.
Ability to analyze case law and provide recommendations, and draft memoranda and guidelines on the application of laws and regulations.
Strong communication and interpersonal skills.
Strong customer orientation focus and success in creating a superior Customer Experience.
Ability to effectively communicate orally and in writing with company employees.
Demonstrated success in displaying passion, drive, adaptability and innovation.
Ability to organize and manage multiple, and at times competing priorities.
Demonstrated ability to solve practical problems or resolve issues in a timely manner.
Proficient in the MS Office Suite.
Ability to thrive in a fast paced, growing organization.
Ability to build solid working relationships within various areas/business functions of the company.

Education/Certifications/Licenses Required
Bachelor's Degree and Juris Doctor from an accredited law school.
Membership in the State Bar as an attorney qualified to practice law in the State of NJ

The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
